These Terms and Conditions ("Terms") govern your access to and use of the Nexaas platform, framework, engine, and related services (collectively, the "Platform") provided by Systemsaholic ("we", "us", or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

• "Platform" refers to the Nexaas framework, engine, dashboard, APIs, and all associated services.
• "User" refers to any individual or entity that accesses or uses the Platform.
• "Application" refers to any software built using or integrated with the Nexaas Platform.
• "Content" refers to data, text, configurations, agents, skills, and other materials you create or upload.

2. Account Registration

• You must provide accurate and complete registration information.
• You are responsible for maintaining the confidentiality of your credentials.
• You are responsible for all activities under your account.
• You must be at least 18 years old or the age of majority in your jurisdiction to create an account.

3. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose.
• Attempt to gain unauthorized access to any part of the Platform or its infrastructure.
• Interfere with or disrupt the Platform or servers/networks connected to it.
• Use the Platform to transmit malware, spam, or harmful content.
• Reverse engineer, decompile, or disassemble any part of the Platform beyond what is permitted by applicable law.
• Resell or redistribute access to the Platform without written authorization.

4. App Registration

• Applications built on the Platform must comply with these Terms and all applicable laws.
• You are solely responsible for the applications you build and their compliance with applicable laws and regulations.
• We reserve the right to revoke app registration for violations of these Terms.
• Registered applications must not misrepresent their affiliation with Nexaas or Systemsaholic.

5. Intellectual Property

• The Nexaas name, logo, framework, engine, and platform are the intellectual property of Systemsaholic.
• You retain ownership of the Content you create using the Platform.
• You grant us a limited license to host and process your Content solely for the purpose of providing the Platform services.

6. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Availability and Modifications

• We strive to maintain Platform availability but do not guarantee uninterrupted access.
• We may modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.
• We may update these Terms from time to time. Continued use after changes constitutes acceptance.

8. Limitation of Liability

To the maximum extent permitted by law, Systemsaholic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of data, revenue, or business opportunities.

9. Indemnification

You agree to indemnify and hold harmless Systemsaholic and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform or violation of these Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario.
