Terms of Service

These Terms of Service ("ToS") apply to the use of the Nexaas platform services, including hosted deployments, API access, and managed infrastructure provided by Systemsaholic.
1. Service Description
Nexaas provides:
- An AI-powered framework and engine for building SaaS applications.
- Agent orchestration, event scheduling, and workflow automation services.
- Dashboard and monitoring interfaces.
- API access for integration and app development.
- Hosted deployment options (VPS single-tenant and Docker multi-tenant).
2. Service Tiers
Service availability, features, and resource limits depend on your subscription tier. Details of each tier, including pricing and resource allocations, are provided during onboarding or on our pricing page.
3. Uptime and Support
- We aim for 99.9% uptime for hosted deployments but do not provide a formal SLA unless separately agreed in writing.
- Scheduled maintenance windows will be communicated in advance where possible.
- Support is available via our contact form and email during business hours (Eastern Time, Monday–Friday).
4. Your Responsibilities
- Maintaining the security of your API keys and credentials.
- Ensuring your use of the Platform complies with all applicable laws.
- Backing up your own data and configurations as appropriate.
- Not exceeding your allocated resource limits or engaging in abusive usage patterns.
5. API Usage
- API access is subject to rate limits based on your service tier.
- API keys are confidential and must not be shared or exposed in client-side code.
- We reserve the right to throttle or suspend API access for abusive usage.
6. Data Handling
- For single-tenant deployments, your data resides on your dedicated infrastructure. You maintain full control.
- For multi-tenant deployments, your data is logically isolated from other tenants.
- We do not access your workspace data except for troubleshooting with your explicit permission.
- Data processing is governed by our Privacy Policy.
7. Payment and Billing
- Fees for paid services are billed monthly or annually as specified in your subscription.
- All fees are in Canadian Dollars (CAD) unless otherwise stated.
- Late payments may result in service suspension after a 14-day grace period.
- Refunds are handled on a case-by-case basis.
8. Termination
- You may cancel your account at any time. Upon cancellation, your data will be retained for 30 days before deletion.
- We may terminate or suspend your account for violations of these Terms or the Terms & Conditions.
- Upon termination, you may request an export of your data within the 30-day retention window.
9. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
10. Limitation of Liability
Our total liability for any claim arising from your use of the Platform shall not exceed the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
11. Governing Law
This ToS is governed by the laws of the Province of Ontario, Canada. Disputes shall be resolved in the courts of Ontario.
